1. Acceptance of Terms
By registering for or using CuePoint (“CuePoint”, “we”, “us”, or “our”), you agree to be bound by these Terms of Service (“Terms”). If you are using CuePoint on behalf of a business, you represent that you have the authority to bind that business to these Terms.
CuePoint (“CuePoint,” “we,” “us,” or “our”) is operated from the Philippines, with principal place of business at:

2. Service Description
CuePoint is a browser-based SaaS platform that enables billiard hall operators (“Tenants”) to manage table sessions, point-of-sale transactions, customer records, staff operations, memberships, loyalty programs, and business reporting.
CuePoint is provided as-is and is intended for use by legitimate billiard hall businesses. It is not an accounting system, an accredited billing system, or a payment processor.
3. Account Registration and Eligibility
To use CuePoint, you must register an account. You agree to:
- Provide accurate, complete, and current registration information.
- Maintain the confidentiality of your login credentials.
- Notify us immediately at support@cuepoint.cloud if you suspect unauthorized access to your account.
- Be at least 18 years old and have the legal capacity to enter into a binding agreement.
You are responsible for all activity that occurs under your account, including actions by staff users you invite to your tenant workspace.
Staff users invited by a Tenant who are minors under applicable local law may only be added by the Tenant with any consent that law requires; the Tenant is responsible for obtaining it.
4. Subscription, Plans, and Billing
CuePoint offers a Free plan and paid subscription plans. Plan limits, included features, and pricing are described on the Pricing page and in the product dashboard.
4.1 Free Trial
New eligible accounts may receive a 14-day free trial on the Pro plan without a credit card. Trial access starts after the trial is selected and required email/security checks are complete. When the trial ends, your account enters a 7-day grace period with full access.
After trial grace ends, your account is automatically moved to the Free plan. Your data is not deleted. Features and new actions above Free plan limits may be locked or disabled, and extra tables may be marked inactive or locked when it is safe to do so. Active table sessions are not interrupted by the downgrade.
4.2 Free Plan
The Free plan is provided at no charge and is subject to the limits described on the Pricing page. We reserve the right to modify Free plan limits with reasonable notice.
4.3 Paid Plans
Subscription pricing is listed in US dollars (USD). At checkout, Paddle may display and charge you in your local currency if it is supported — the amount charged will reflect the USD price converted at the rate Paddle applies at the time of the transaction. Online subscription checkout is powered by Paddle (paddle.com), who acts as our Merchant of Record. This means Paddle is the legal seller for subscription transactions, handles tax collection and remittance, and issues billing receipts directly to you. By completing checkout, you also agree to Paddle's Terms of Service and Privacy Policy.
Manual billing arrangements may be offered at our sole discretion in limited cases (for example, certain larger operators). Manual billing is available only where permitted by applicable law in the customer's jurisdiction, is arranged directly with us by written agreement, and may be declined or withdrawn at any time. Where a manual arrangement applies, the specific billing, renewal, tax, and refund terms will be set out in that written agreement and will govern over the standard checkout terms for that customer.
4.4 Subscription Term and Renewal
Paid subscriptions are provisioned for a billing period (monthly or annual) selected at checkout or agreed with support. Online subscriptions renew automatically for the selected billing period unless cancelled or changed. Manual billing arrangements may have separate renewal terms agreed with CuePoint.
4.5 Paid Grace Period and Expiry
When a paid subscription expires, your account will enter a 7-day grace period during which full functionality is retained and you will receive billing reminders. After the grace period, your account is automatically moved to the Free plan. Your data is not deleted. Features and new actions above Free plan limits may be locked or disabled, and extra tables may be marked inactive or locked when it is safe to do so.
Paid expiry downgrade does not interrupt active table sessions. Administrative suspension or cancellation remains separate from subscription expiry and may immediately restrict access where required by these Terms, security, abuse prevention, or support operations.
5. Refund and Cancellation Policy
5.1 Cancellation
You may cancel your paid subscription at any time from your account dashboard (Plan settings). You may also request cancellation by contacting support@cuepoint.cloud. Unless required by law or agreed otherwise, cancellation takes effect at the end of your current billing period and you retain full access until then. Plan downgrades normally take effect at the next renewal so the already-paid access period is preserved.
5.2 Statutory Consumer Rights
Online subscription payments are processed by Paddle (paddle.com), acting as our Merchant of Record and the seller of record for those transactions.
Where the law of your country, state, or region grants you a mandatory consumer right — such as a cooling-off period, a right of withdrawal, or a statutory refund right — that right applies to your purchase to the extent required by that law, regardless of anything else in these Terms and regardless of your usage of the service.
You may exercise any such right by contacting Paddle through the receipt or order confirmation it provides, or by contacting us at support@cuepoint.cloud, and we will coordinate with Paddle on your behalf. Paddle administers these rights in accordance with the applicable law of your jurisdiction.
We honor all statutory consumer refund and withdrawal rights that apply to you under your local law, whether or not they are described here.
5.3 Refunds — General
Outside of statutory withdrawal rights, refund requests are handled at our discretion and may be approved within 14 days of the charge. We will consider refunds for:
- Duplicate payments caused by billing errors.
- Charges for periods during which the service was materially unavailable or had material defects preventing access to core features, due to our fault.
- Other circumstances where a refund is reasonable, considering the product type, the reason for the request, and usage patterns.
Refunds for ongoing subscription renewals (beyond the initial payment) are generally not issued for partial periods or plan downgrades, unless required by applicable law. Approved refunds are processed to the original payment method within 14 days. Service access ceases upon refund issuance.
To request a refund, contact support@cuepoint.cloud within 14 days of the charge. For statutory withdrawal requests, you may also contact Paddle directly.
5.4 Free Plan
The Free plan has no charges and no refund policy applies.
6. Acceptable Use
You agree to use CuePoint only for lawful billiard hall management purposes and in accordance with our Acceptable Use Policy, which is incorporated by reference into these Terms. Violations of the Acceptable Use Policy may result in account suspension or termination.
7. Data and Privacy
Your use of CuePoint is also governed by our Privacy Policy. As a Tenant, you are the data controller for your customers' and staff's personal data entered into the platform. We process that data as your data processor. Our obligations as processor are detailed in the Data Processing Addendum.
8. Intellectual Property
CuePoint and its features, design, codebase, and documentation are owned by CuePoint, operated by the party identified in the operator identity section, and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in CuePoint.
You retain all rights to the data you enter into CuePoint. You grant us a limited license to store, process, and display your data as necessary to provide the service.
9. Receipts and Invoicing
Receipts generated by CuePoint are operational transaction records intended for your internal use and for providing summaries to your customers. They are not tax authority-certified official receipts or invoices. Tenants who require official fiscal receipts for their transactions must maintain their own compliant receipting system. Please consult a tax professional regarding your receipting obligations before relying on CuePoint receipts as official fiscal documents.
10. Disclaimers
Except as expressly stated in these Terms and to the maximum extent permitted by applicable law, CuePoint is provided “as is” and “as available,” without warranty of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the service will be uninterrupted, timely, secure, error-free, or free of harmful components, or that any data loss will not occur.
Statutory guarantees. Some jurisdictions do not allow the exclusion of certain warranties or statutory consumer guarantees. If you are a consumer, you may have legal guarantees that cannot be excluded, and nothing in these Terms limits or excludes those guarantees. Where such guarantees apply and cannot lawfully be excluded, our liability for breaching them is limited, to the extent permitted by law, to re-supplying the service or refunding the amount you paid for it.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
(a) Neither CuePoint nor its operators, affiliates, or staff shall be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to your use of or inability to use CuePoint, whether based in contract, tort, or any other legal theory, even if advised of the possibility of such damages.
(b) Our total aggregate liability for all claims arising out of or relating to these Terms or your use of CuePoint shall not exceed the LESSER of (i) the total amount you paid to us for the service in the twelve (12) months immediately preceding the event giving rise to the claim, or (ii) USD 100.
(c) Exclusions. Nothing in these Terms excludes or limits our liability for: (i) death or personal injury caused by our negligence; (ii) fraud or fraudulent misrepresentation; (iii) gross negligence or willful misconduct; (iv) any liability that cannot be excluded or limited under applicable law, including mandatory consumer protections and our liability under applicable data protection law; or (v) our indemnification obligations, if any.
(d) The limitations in this Section reflect the allocation of risk between the parties and apply notwithstanding the failure of any limited remedy.
12. Indemnification
You agree to indemnify and hold harmless CuePoint, its operators, affiliates, and staff from any claims, damages, or expenses (including reasonable legal fees) arising from your use of CuePoint, your violation of these Terms, or your violation of any third-party rights.
13. Suspension and Termination
We may suspend or terminate your access to CuePoint at any time, with or without notice, if we reasonably believe you have violated these Terms or the Acceptable Use Policy, or if continued access would harm other users or the platform.
You may terminate your account at any time by contacting support@cuepoint.cloud. On termination, your right to access CuePoint ceases. We will retain your data for the post-cancellation period described in our Privacy Policy before deletion or anonymization.
14. Modifications to the Service and Terms
We reserve the right to modify or discontinue CuePoint at any time. We may also modify these Terms. We will provide reasonable notice of material changes via email or in-app announcement. Continued use of CuePoint after changes take effect constitutes your acceptance of the revised Terms.
15. Governing Law and Dispute Resolution
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes), are governed by and construed in accordance with the laws of the Republic of the Philippines.
Before commencing formal proceedings, the parties will attempt to resolve any dispute informally by contacting legal@cuepoint.cloud and allowing thirty (30) days for good-faith resolution.
Subject to the paragraph below, the parties submit to the exclusive jurisdiction of the proper courts of Ilocos Norte, Philippines.
Consumer protections. If you use CuePoint as a consumer, nothing in these Terms removes or limits any mandatory right, protection, or remedy — or any right to bring proceedings in the courts of your country of residence — that your local law grants you and that cannot be waived by agreement. Such mandatory rights prevail over any conflicting term in these Terms to the extent of the conflict.
